CONCEPT
The Resort Club at Hilton is an exclusive gathering of Shareholder-Members
privileged to indulge in the exclusive, luxurious, world-class facilities
and amenities. Among other privileges, Shareholder-Members are entitled to
7 certificate for COMPLIMENTARY ACCOMMODATIONS at exclusively designated
suites of this 5-star serviced apartment every year for 50 YEARS on
privately accessed "Resort Club Members-only" floors. These complimentary
accommodations may be enjoyed at any time during the year by simple making
a reservation. Being proprietary in nature, Shareholders will own
pro-rata, the Club premises and facilities at the end of the term of the
corporation, making this proprietary Club especially "unique" among other
Private Clubs.
Members can "plunge their hearts out" in the huge free-form swimming pool
amidst a paradise setting or stroll around the lush and tropical
landscaping that leads to the sandy-white beach where one can indulge in
any water sport activity of their choice or just simply bask around until
sundown, relishing and reveling in the splendid nature has to offer.
THE RESULT CLUB at Hilton further provides members access to recreational,
health and fitness facilities at the Hilton Cebu Resort & Towers complex
in Mactan Island, Cebu Philippines.
THE RESORT CLUB INC.
The Resort Club is organized and duly registered with the securities &
Exchange Commission primarily to operate, maintain and manage Resort Club
suite rooms style Service Apartment, a Super Gym and other Recreational
facilities. The Company is a stock, no-par value, non-profit
corporation with the sole objective to benefit the members.
LOCATION
The Club is located at exclusive floors and areas of Tower Three of the
Hilton Cebu Resort & Towers accessed by two(2) private elevators with
dedicated parking spaces for "Members-Only" use.
Impressively located at Punta Engaňo
in Mactan Island, Cebu, the complex is prominently situated next to the
popular Shangri-La's Mactan Island Resort and approximately 10 minutes
away from the Mactan International Airport. And being relatively near the
city's central business district, accessed by the two bridges, affairs can
be handled with much ease and comfort, affording each member the
convenience of ending their busy in paradise.
CONSTRUCTION TIMETABLE
The Resort Club is scheduled for completion by June 30,2004 with a six(6)
month grace period to complete the facilities and amenities.
FACILITIES and AMENITIES
The Resort Club facilities will be part of the French
Mediterranean-inspired master plan of the complex evoking the "Cote d
Azure" with each solarium lobby and live foliage designed by California
based architect, Roberto Viggayan (responsible for prestigious project such
as the Ritz Carlton, Four Seasons & Hyatt Regency in Hawaii and
California) and the building design by Richeto Alcordo (architect of the
Waterfront Hotel & Casino, Cebu City Convention Center and the Waterfront
Mactan Hotel & Casino), blend perfectly with the rich and profuse tropical
landscaping design by internationally acclaimed Belt Collins of Hawaii
thus, creating the perfect tropical paradise-the HILTON CEBU RESORT &
TOWERS.
The Resort Club being part of the Hilton Cebu Resort & Towers will have a
mix of world-class technology composed of a structured cabling CAT 5,
property and building management systems and an advanced security system
and state-of-the-art amenities aimed at the protection of the environment
such as the sewage and waste water treatment plant, gray water processing
plant, water desalination plant, and copper pipes for water lines.

OFFER PERIOD
The selling period will be for three(3) years commencing on its Launching

HOLDING PERIOD
Shares shall not be sold, transferred nor conveyed in
any manner at any third party other than by hereditary succession within a
period of three years form the date of the official sales launch of the
